This includes organizations like A Fairer Society (AFS), whose team is working at the intersection of worker ownership, democratic governance, and values-aligned enterprise design. Building on a deep commitment to cooperative principles and equitable economic participation, AFS is working to fundamentally reimagine how businesses are structured, governed, and owned – placing workers at the center of both decision-making and economic returns.
AFS is pioneering a novel approach to cooperative ecosystem development through the formation of a multi-entity organizational structure anchored in limited cooperative association (LCA) law. Their foundational entity, AFS USA Services LCA, marks the launch of a broader architecture designed to enable worker-members to participate in governance, share in cooperative net margins based on their labor contribution, and build meaningful equity in the enterprises they help grow. Their structure incorporates sociocratic governance principles, including consent-based decision-making and equal voting rights, to ensure democratic participation at every level of the organization.
Founded on the conviction that cooperative structures can be both scalable and deeply values-aligned, AFS is working across multiple industries to demonstrate that mission integrity and operational rigor are not in conflict. Their multi-class membership architecture – encompassing worker members, investor members, and governance roles – reflects a sophisticated understanding of how labor and capital participation can be balanced in a cooperative framework, creating pathways for equitable wealth-building that go well beyond what traditional employment structures allow. By designing mechanisms to distribute cooperative net margins based on participation, AFS is linking the act of working to the act of owning in a way that is both legally enforceable and genuinely transformative.
In addition to acquiring businesses, AFS has developed an incubation model that supports entrepreneurs who are committed to running businesses based on AFS values. Their initial venture, an association management company (AMC), provides executive, governance, and support services to nonprofits and associations. The new company is already the proud management partner of California Gay Adventures.
What makes this project particularly noteworthy is the legal frontier it occupies. U.S. tax and entity law were not designed with cooperative multi-entity structures in mind, and building a governance system grounded in sociocratic principles – with enforceable mechanisms for worker ownership, democratic member control, and economic participation across jurisdictions – required navigating terrain with few established precedents. AFS persisted through a rigorous and iterative organizational design process, and working closely with our team, successfully operationalized a governance and membership framework that is at once deeply innovative and legally durable.
Our team played a supportive, but significant role in this groundbreaking work by designing the entity structure, developing the governance and membership frameworks, and supporting the full operationalization of AFS’s cooperative model. We led the complex entity formation work – including LCA structuring under applicable state law, EIN strategy, and jurisdictional compliance – and crafted the bylaws, membership agreements, and organizational resolutions that give legal form to AFS’s cooperative and sociocratic principles. We designed the multi-class membership architecture and worker participation mechanisms, and supported the board and director actions needed to move AFS from organizational vision to operational reality. Our ongoing legal advisory has continued to support AFS as it refines and evolves its model across entities and sectors. Our legal expertise was instrumental in creating a scalable cooperative foundation that will support AFS’s vision of a worker-owned, mission-aligned ecosystem – one capable of growing across industries without ever compromising the values at its core.
